These Terms of Service ("Terms") are a legal agreement between you and HeruClaw ("we", "us", "our"). They govern your access to and use of the HeruClaw website, assistant, and related services (the "Services"). By using the Services, you agree to be bound by these Terms.
1. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate information when creating an account and to keep that information up to date.
2. Use of the Services
- HeruClaw is an AI assistant. You are responsible for the prompts, instructions, and data you provide.
- You should carefully review important outputs (for example, emails, messages, bookings, and documents) before sending or relying on them.
- You agree not to misuse the Services, including by attempting to break security, interfere with other users, or use the assistant for illegal or harmful activities.
3. Subscriptions and credits
Access to the Services is offered on a subscription basis (for example, a monthly workspace fee) plus usage‑based AI token credits.
- Subscription fees are charged in advance for each billing period.
- AI usage is metered via credits, which you can purchase in blocks (currently starting from US$10).
- Unless otherwise stated, fees and credits are non‑refundable except where required by law.
4. Acceptable use
You agree not to use the Services to break the law, violate the rights of others, or harm the system. For example, you must not:
- Attempt to gain unauthorized access to other workspaces or systems.
- Use the assistant to generate spam, abuse, or unlawful content.
- Reverse engineer or attempt to extract underlying models or source code.
5. Intellectual property
We own or license the software, models, and other technology that power the Services. You own your own content and data, subject to the license you grant us below.
To operate the Services, you grant us a limited, worldwide, non‑exclusive license to host, process, and display your content solely for the purpose of providing the assistant to you and improving safety, reliability, and support.
6. Confidentiality and data
We will handle your data in accordance with our Privacy Policy. You are responsible for ensuring that you have the right to share any data you provide, especially where it contains third‑party or confidential information.
You should not use the Services to process information where you are legally prohibited from doing so with third‑party vendors without appropriate agreements in place.
7. Disclaimers
The Services are provided "as is" without warranties of any kind, whether express or implied. AI systems can make mistakes or produce unexpected outputs. We do not guarantee that the Services will be error‑free, uninterrupted, or fit for a particular purpose.
8. Limitation of liability
To the maximum extent permitted by law, HeruClaw will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill resulting from your use of the Services. Our total liability for any claim relating to the Services will be limited to the amounts you paid us for the Services in the 12 months before the claim arose.
9. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, misuse the Services, or if we are required to do so by law. On termination, certain sections that by their nature should survive (such as intellectual property, limitations of liability, and dispute terms) will continue to apply.
10. Governing law
These Terms are governed by the laws of Hong Kong, without regard to conflict‑of‑law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of Hong Kong, unless we agree otherwise in writing or applicable law requires a different forum.
11. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, when appropriate, provide additional notice within the product. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

本服務條款（「條款」）是你與 HeruClaw（「我們」）之間具法律約束力的協議，用以規管你 使用 HeruClaw 網站、助理，以及相關服務（統稱「服務」）的方式。使用本服務即代表你同意並受本條款約束。
1. 使用資格及帳戶
你必須年滿 18 歲並具備訂立合約的行為能力方可使用本服務。 你需妥善保管帳戶登入資料，並對帳戶下發生的所有行為負責，亦需確保註冊資料真實及保持更新。
2. 服務的使用
HeruClaw 為 AI 助理服務，你對自己輸入的提示、指令和資料負全部責任。 對於電郵、訊息、預約及文件等重要輸出內容，你應在發送或採納前自行仔細審閱， 並承諾不以違法或有害方式使用本服務。
3. 訂閱及代幣額度
本服務以訂閱費加代幣額度模式收費。訂閱費按期預先收取；AI 代幣額度則可按需要購買， 除非法律另有規定，已支付的費用及額度一般不設退款。
4. 可接受的使用方式
你不得利用本服務破壞系統安全、干擾其他用戶、產生垃圾或違法內容， 或進行任何屬不當或損害他人權益的行為，例如未經授權嘗試進入其他工作空間、 產生濫發訊息或試圖還原底層模型或原始碼等。
5. 知識產權
我們擁有或獲授權使用推動本服務的軟件、模型及相關技術；你則保留自己內容及數據的擁有權， 但同意授予我們一個有限的全球非獨家授權，以便在提供服務及提升安全和可靠性時，處理及展示相關內容。
6. 保密及數據
我們會按照隱私政策處理你的數據。你有責任確保自己有權分享提供的任何資料， 特別是當當中包含第三方或機密資訊時。若法律不容許你在未簽妥相關協議下與第三方服務商處理某些資料， 則不應透過本服務處理該等資料。
7. 免責聲明
本服務按「現況」提供，不附帶任何明示或默示的保證。AI 系統有機會出現錯誤或出乎意料的輸出， 我們不保證服務必然準確、不中斷或適合任何特定用途。
8. 責任限制
在法律允許的最大範圍內，HeruClaw 對因你使用本服務而產生的間接、附帶、特殊、後果性或懲罰性損害概不負責， 包括但不限於利潤、數據、使用或商譽的損失。我們對任何索償的總賠償責任，以你在相關索償發生前 12 個月內就本服務實際支付的費用為上限。
9. 終止
你可隨時停止使用本服務。如你嚴重違反本條款、濫用服務或法律要求，我們可暫停或終止你的存取權。 條款中按其性質應在終止後仍然有效的部分（例如知識產權、責任限制及爭議條款），將在終止後繼續生效。
10. 適用法律
本條款受香港法律管轄，而不適用其衝突法原則。除非雙方以書面同意或適用法律另有規定， 任何爭議將交由香港法院專屬管轄。
11. 條款更新
我們可能不時更新本條款。如有重大變更，我們會更新頁面頂部的「最後更新」日期， 並在適當情況下於產品內提供額外提示。你繼續使用服務即視為同意更新後的條款。
